Magnolia Oil & Gas agreed to buy WildFire Energy from Warburg Pincus and Kayne Anderson for about $4.06 billion.
WildFire produces 53 Mboe/d, about 70% oil, across about 810,000 net acres in South Texas.
The business was formed in 2019 and expanded through acquisitions including Hawkwood Energy in 2021, alongside organic growth.
Closing is expected in late Q3 2026, subject to customary conditions and regulatory approvals.
