1. Offer rejected
Wendy's independent committee unanimously rejected a Trian Partners-led group's $7.35-per-share cash offer for all common shares the group does not already own. The committee concluded the proposal substantially undervalues the business and expected gains from the Dave's Way strategic plan. The group also includes Flynn Group, BlueFive Capital and Sixth Street Partners.
2. Rights plan adopted
The board adopted a shareholder rights plan on November 4, 2026, expiring November 3, 2027, to guard against a change of control without an appropriate premium. The plan triggers at 15% ownership, or additional purchases by existing holders with at least 15%, unless the board or independent committee approves.
