Why would Musk merge SpaceX and Tesla?
SPCX•Elon Musk said a merger of Tesla and SpaceX has merit, potentially combining businesses valued at about $3.5 trillion. The companies could share work in AI, chips, robotics, energy and communications, but face regulatory, governance and execution risks.
1. Potential benefits
Musk said combining Tesla and SpaceX could help them cooperate on AI software, chip design, robotics, satellite communications and orbital data centers. A merger could also give management more freedom to move capital, engineering talent and infrastructure across projects, and consolidate Musk’s influence over the businesses.
2. Investor exposure
Tesla shareholders would gain exposure to SpaceX’s Starlink broadband, launch services and future space ventures; SpaceX investors would gain exposure to Tesla’s vehicles, energy storage, autonomous driving and robotics. The combined company could be worth about $3.5 trillion. Tesla and SpaceX have announced the Terafab semiconductor and AI-computing project, with Musk hoping to start volume production by late 2028.
3. Risks and hurdles
Critics say investors would take on a wider range of technical, regulatory and execution risks. SpaceX’s US government contracts and Tesla’s ties to China through its Shanghai factory could invite scrutiny. Shareholder approval, governance, conflicts of interest and capital allocation would also be challenges.
