Auditor reappointment was ratified; authority to adjourn or postpone the meeting to solicit additional proxies was also adopted.
Shareholders approve directors and governance changes
ZeroStack held its 2026 annual and special shareholder meeting on July 20, 2026.
Shareholders backed a slate of directors for new terms; the board will move to a three-class staggered structure under amended bylaws.
The meeting also endorsed an expanded 2022 incentive compensation plan; it separately authorized the board to shift the company’s jurisdiction to Texas.
