Zoned Properties raises BPB Partners asset sale price to 7.8 million in amended deal
ZDPY•Zoned Properties amended its asset purchase agreement with BPB Partners, increasing the sale price to 7.8 million, subject to adjustments for debt the buyer elects to assume. The outside date is Oct. 30, 2026, with a possible 90-day extension, and closing depends on the buyer raising required capital.
1. Amended sale terms
Zoned Properties entered an amended and restated agreement to sell its business and substantially all its assets to BPB Partners, increasing the purchase price to 7.8 million. The price will be reduced by any indebtedness the buyer elects to assume; if that debt exceeds 7.8 million, the seller must pay the difference at closing. The outside date moved to Oct. 30, 2026, with a possible 90-day extension, and closing remains dependent on the buyer raising required capital.
2. Deal protections removed
Due diligence and go-shop rights lapsed, and the seller is now bound by a no-shop covenant.
