1. Proposed settlement
ZoomInfo agreed on October 16, 2026, to a proposed $44 million settlement of a securities class action. The settlement requires approval by a Washington federal court, and remaining insurance funds are expected to cover part of the payment.
2. Claims and other cases
Investors alleged misleading statements about business performance, including the effects of COVID-19, in connection with common stock purchases from November 10, 2020, through August 5, 2024. The proposed settlement would dismiss the litigation and release claims against the defendants without an admission of wrongdoing. Related shareholder derivative lawsuits, an investor opt-out action and a separate class action filed June 25, 2026, remain ongoing.
