Terms of Service
These Terms govern your access to and use of Rallies.ai and related websites, applications, research tools, portfolio connectivity features, and paid subscription services provided by Blotter Inc. ("Rallies," "we," "us," or "our").

1. Acceptance and Eligibility
By accessing or using Rallies, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.
You may use Rallies only if you can form a binding contract with us and are permitted to use the service under applicable law. You are responsible for complying with the laws and regulations that apply to you.
If you use Rallies on behalf of a company, fund, advisory business, or other entity, you represent that you have authority to bind that entity to these Terms.
2. What Rallies Is Right Now
Rallies is currently an investment research, data, analytics, and educational platform. It may provide market data, charts, news, filings, watchlists, portfolio analytics, community signals, public-figure portfolio data, AI-generated summaries, and portfolio-aware research tools.
Rallies does not currently provide any of the following:
- brokerage services, custody, clearing, or settlement services
- trade execution, order routing, or discretionary account management
- personalized investment advisory services or financial planning services
- tax, legal, accounting, or other professional advice
3. No Investment Advice, Recommendation, or Solicitation
Rallies is not a registered investment adviser, broker-dealer, or member of FINRA or SIPC. Nothing on Rallies constitutes personalized investment advice, a recommendation to buy, sell, hold, or tender any security, or an offer or solicitation to enter into any securities transaction or investment strategy.
Content on Rallies is general in nature. Even where the service uses your connected portfolio, watchlist, prompts, or other inputs to organize research or provide context, that functionality does not convert the service into a personalized advisory program, create a fiduciary relationship, or mean that Rallies is acting in your best interest.
You remain solely responsible for evaluating any information you see on Rallies and for all investing, trading, and tax decisions you make.
If you choose to act on any research, screens, rankings, chat outputs, portfolio analysis, or notifications available through Rallies, you do so entirely at your own risk.
Any labels, scores, rankings, trade ideas, model outputs, watchlist prompts, or action-oriented language on Rallies, including words such as buy, sell, hold, add, reduce, trim, hedge, rotate, or rebalance, are informational only unless expressly identified as part of a separate regulated service offered under separate terms and disclosures.
This applies specifically to the Agents product and any similar AI monitoring, notification, messaging, or portfolio-aware workflow on Rallies. Agents may surface research, summarize developments, highlight risks, rank opportunities, generate trade ideas, or use decisive language, but those outputs are not investment advice, are not individualized recommendations, are not a promise of future performance, and should not be treated as a basis for making investment decisions without your own independent review.
4. No Broker-Dealer, No Investment Adviser, No Fiduciary Relationship
Your use of Rallies does not create an investment advisory, brokerage, agency, partnership, or fiduciary relationship between you and Blotter Inc. or any affiliate, officer, employee, contractor, or service provider.
We do not accept discretionary authority over your assets, we do not have authority to place trades for you, and we do not undertake to monitor your account on an ongoing basis for advisory purposes.
5. Future Regulated Services
If Rallies ever offers services that involve trade execution, order routing, discretionary management, personalized investment advice, or any other activity that requires registration, licensing, or supervision under securities or commodities laws, those services will be offered only under separate terms, disclosures, and account documentation and, if applicable, through a separate regulated entity, affiliate, or third-party provider.
Until that happens, you should assume those services are not part of the current Rallies offering.
6. AI, Automation, and Content Limitations
Rallies uses software models and AI systems to generate summaries, answers, rankings, and other outputs. For current user-specific AI features, including prompts, messages, and portfolio-aware outputs based on your account data, Rallies uses OpenAI models. AI and automated systems can be wrong, incomplete, outdated, biased, inconsistent, or misleading. They may generate plausible-sounding but inaccurate statements.
You must independently verify any information before relying on it. AI-generated output is provided for informational and educational purposes only and is not guaranteed to be accurate, complete, or suitable for your circumstances.
Agents outputs may be incomplete, may omit material facts, may rely on delayed or incorrect third-party data, and may present a simplified or directional view of a security, portfolio, or market event. Agents do not know your full financial circumstances, risk tolerance, liquidity needs, time horizon, tax situation, or legal obligations, and they are not a substitute for a licensed financial, legal, or tax professional.
Rallies may also display, compare, or discuss outputs from other model providers in public or experimental features. Those references do not by themselves mean your private prompts, messages, or connected portfolio data are sent to those providers.
7. Alerts, Notifications, and Monitoring Limits
Rallies may provide watchlist alerts, price alerts, market-cap alerts, event alerts, news alerts, digest alerts, portfolio alerts, push notifications, emails, in-app notifications, and similar automated messages based on criteria you set or criteria we make available on the Platform.
These alerts and notifications are informational only. They are not recommendations, trade instructions, brokerage communications, or a promise that any security should be bought, sold, or monitored in a particular way.
Alerting functionality depends on third-party data, connectivity, device settings, platform permissions, and network availability. Alerts may be delayed, incomplete, misfired, duplicated, or never delivered. You remain solely responsible for monitoring your investments, orders, and risk exposures.
Your use of alerts does not create any duty for Rallies to monitor markets, your portfolio, or your account continuously or to notify you of every relevant event.
Even if Agents or alerts appear to be continuously watching your portfolio, that does not mean Rallies is undertaking an advisory monitoring obligation, supervisory duty, or real-time fiduciary service. You remain solely responsible for monitoring your holdings, trades, and risk.
8. Market Data, Public Data, and Third-Party Content
Rallies relies on third-party data feeds, public filings, public disclosures, market data vendors, AI providers, and other external sources. Data may be delayed, incomplete, inconsistent, unavailable, or incorrect. Public filings and disclosures may themselves contain errors or may be filed after the relevant event occurred.
You should use official brokerage statements, exchange feeds, issuer filings, and other primary sources to confirm information before acting on it.
References to public figures, hedge funds, politicians, insider activity, community behavior, models, rankings, or AI agents are informational only. They do not constitute endorsements, suitability determinations, or promises that similar outcomes will recur.
9. Portfolio Connectivity and SnapTrade
Brokerage connectivity features are currently provided through SnapTrade and related providers. When you connect a brokerage account, Rallies receives read-only portfolio data needed to power research and analytics features.
- Rallies cannot execute trades, transfer funds, or modify your brokerage account through current connectivity features.
- Rallies does not receive your broker login credentials directly where the connectivity provider handles that flow.
- Connected portfolio data may be delayed, stale, incomplete, or inconsistent with your broker's official books and records.
- Your use of portfolio connectivity features may also be subject to the applicable third-party provider's terms and policies.
10. Accounts, Security, and Acceptable Use
You are responsible for your account credentials, devices, and all activity that occurs under your account. You agree to provide accurate information and to notify us promptly at support@rallies.ai if you suspect unauthorized access.
You may not:
- use Rallies in violation of law or regulation
- scrape, resell, republish, or redistribute protected content or data without permission
- interfere with the security or operation of the service
- use the service to provide regulated advice or services to third parties without appropriate authority
- misrepresent Rallies output as guaranteed, official, or personalized professional advice
- use bots, scripts, or automated means to access the service in a way that burdens our systems or bypasses access controls
- attempt to reverse engineer, decompile, or extract source code except as allowed by law
We may impose product, usage, storage, query, API, prompt, or feature limits at our discretion for security, operational, product, or commercial reasons.
11. Subscriptions, Billing, and Renewals
Certain features require a paid subscription. Billing may be handled by Stripe, Apple, or other authorized payment providers. By purchasing a subscription, you authorize the applicable payment provider to charge the applicable recurring fees, taxes, and other disclosed amounts.
Unless otherwise stated, subscriptions renew automatically until canceled. Cancellation will stop future renewals but generally does not retroactively refund amounts already paid except where required by law or stated in our refund policies or the payment provider's rules.
We may change pricing, packaging, trials, credits, or feature availability from time to time. If we change the price of a recurring subscription, the new price will apply on a future renewal date after any notice required by applicable law or the billing provider.
Some subscription purchases may be governed in part by Apple App Store or other marketplace terms. Where third-party billing platform rules conflict with these Terms, the billing platform's mandatory rules control for the relevant purchase.
12. Third-Party Services and Links
Rallies may include or depend on third-party services, websites, content, tools, data feeds, authentication providers, payment processors, app stores, or connectivity providers. Your use of those services may also be governed by their own terms and policies.
We are not responsible for third-party products or services, including their accuracy, security, availability, billing practices, or legal compliance.
13. User Inputs, Feedback, and Communications
You retain ownership of prompts, messages, uploads, and other content you submit to the extent you have the legal right to do so. You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, process, adapt, transmit, and display that content as necessary to operate, secure, improve, and support the service.
If you provide product feedback, suggestions, or ideas, we may use them without restriction or compensation to you.
You consent to receive electronic communications from us relating to the service, including account notices, billing notices, legal notices, and operational messages.
14. Intellectual Property
The service, including our software, brand, interfaces, design, text, visual assets, compiled datasets, and derivative outputs protected by law, is owned by Blotter Inc. or its licensors. Except for limited rights needed to use the service under these Terms, no rights are granted to you.
15. Disclaimer of Warranties
To the maximum extent permitted by law, Rallies is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, or results. We do not warrant that the service will be uninterrupted, secure, error-free, or suitable for trading, investing, compliance, tax, or legal purposes.
16. Limitation of Liability
To the maximum extent permitted by law, Blotter Inc. and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, or for any loss of profits, revenue, goodwill, data, business opportunity, trading opportunity, or investment value, arising out of or related to your use of Rallies.
Without limiting the previous sentence, we will not be liable for losses arising from investment decisions, trading activity, missed opportunities, inaccurate or delayed data, AI output, alerts or notifications that are delayed or not delivered, service interruptions, account compromise, third-party provider failures, or public-data inaccuracies.
To the extent permitted by law, our aggregate liability for all claims arising out of or relating to the service will not exceed the greater of $100 or the amount you paid us for the service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
17. Indemnification
You agree to defend, indemnify, and hold harmless Blotter Inc. and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, demands, actions, liabilities, damages, judgments, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of Rallies, your content, your violation of these Terms, or your violation of law or third-party rights.
18. Suspension, Termination, and Changes
We may modify, suspend, or discontinue any part of the service at any time. We may also suspend or terminate your access if we believe you violated these Terms, created risk for us or others, or if required for legal, security, or operational reasons.
We may update these Terms from time to time. Updated Terms become effective when posted unless a later date is stated.
Upon termination, provisions that by their nature should survive will survive, including provisions relating to intellectual property, disclaimers, liability limitations, indemnification, payment obligations, and dispute-related terms.
19. Miscellaneous
These Terms are the entire agreement between you and us regarding the service, except for any additional terms that expressly apply to specific products or purchases.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver of that provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. To the extent a dispute is permitted to proceed in court, you and Blotter Inc. agree to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, except where applicable law requires otherwise.
