1. Warrant exchange terms
The exchange covers 13,353,384 shares, including 12,885,891 held by Blackstone-affiliated funds, 213,667 held by RA Capital Healthcare Fund and 253,826 held by venBio Global Strategic Fund. The warrants have a $0.001-per-share exercise price and are exercisable through cash payment or cashless exercise, subject to ownership caps of 4.99% or 9.99%; holders may raise the caps to 19.99%, effective 61 days after notice.
