Aperture AC agrees to merge with Atlantic HPC in deal valuing target at USD 150 million

Aperture AC agreed to acquire Atlantic HPC Group at a $150 million pre-money equity value, paid in stock valued at $10 per share.
Atlantic owners are to receive 15,000,000 Class A shares, with up to 6,000,000 additional earnout shares tied to leasing and share-price targets.
The deal is expected to deliver up to $102 million of gross proceeds from Aperture’s trust account, assuming no shareholder redemptions.
Combined company and Atlantic HPC operations
The combined company is expected to trade on Nasdaq as AHPC, with Aperture renamed Atlantic HPC Corp. Closing is targeted for Q1 2027.
Atlantic operates bitcoin mining and computing sites in Oklahoma, Arkansas and Ohio. It reported FY2026 revenue of $28.6 million and EBITDA of $4.4 million.
