1. Board Transition and Insider Share Sales

Aya Gold & Silver announced that long-standing board members Robert Taub (Chair since 2020) and Dr. Jürgen Hambrecht (Lead Independent Director) will retire at the conclusion of their current terms and will not stand for re-election at the upcoming annual meeting. Taub, a founding director with ten years’ service and significant long-term shareholding, led Aya’s strategic turnaround over the past five years. Hambrecht, who joined in 2019, strengthened the company’s governance framework. In conjunction with their departure, the two directors executed a secondary market sale of a combined 7.5 million common shares, while retaining meaningful long-term stakes. Members of Aya’s executive management also sold approximately 1.1 million shares, representing 12% of their collective holdings, primarily shares issued upon exercise of long-term incentive plan options. Following these transactions, the management team retains about 7.7 million shares, underscoring continued insider confidence in Aya’s growth prospects. All transactions complied with regulatory requirements and internal policies.

2. Record Q4 and Full Year 2025 Production

Aya reported record operational results at its Zgounder silver mine for Q4 2025, producing 1.37 million ounces of silver—up 2% quarter-on-quarter—and processing ore at an average rate of 3,796 tonnes per day (tpd), a 14% improvement over Q3. December alone saw a record 545,491 ounces of silver recovered, with a mill feed grade of 147 g/t and a milling rate of 4,107 tpd. Sustained silver recovery averaged 91.2% and mill availability 99.0%. Mining rates reached 1,387 tpd underground at 161 g/t and 2,800 tpd in the open pit at 115 g/t, for a combined 4,187 tpd at 130 g/t. For the full year, Aya produced 4.83 million ounces of silver at Zgounder and reclaimed 13,498 tonnes of historical pyrite stockpile at Boumadine, yielding 172,129 ounces of silver equivalent. Total 2025 production across both assets reached just over 5 million silver equivalent ounces, a 193% increase year-on-year, driven by debottlenecking initiatives, optimized blending, and enhanced throughput at the processing plant.
