BBVA cancels 70,339,213 treasury shares in €34,466,214.37 capital reduction

BBVA executed a partial share capital reduction of EUR 34,466,214.37 through the cancellation of 70,339,213 treasury shares.
The cancelled shares were acquired under the third and final tranche of its share repurchase program disclosed on April 30, 2026.
Share capital is now EUR 2,700,323,995.53, divided into 5,510,865,297 shares with a par value of EUR 0.49 each.
The reduction was charged to unrestricted reserves through a redeemed capital reserve equal to the shares’ par value.
BBVA will seek delisting of the cancelled shares, with cancellation in Iberclear’s accounting records.
