BBAIBBAI

BigBear.ai closed its Ask Sage acquisition on December 31 and added CargoSeer to expand AI inspection capabilities for defense, trade and highly regulated sectors, while forging UAE partnerships and planning a second strategic acquisition in 2025. In Q4, revenue fell to $27.3 million (down $16.5 million YoY) with gross margin at 20.4% and net loss narrowed to $5.8 million on record liquidity and reduced debt.

1. Acquisition Strategy

BigBear.ai completed the Ask Sage acquisition on December 31, integrating a model-agnostic platform for secure generative AI distribution in defense and regulated industries. Shortly after, it acquired CargoSeer’s AI shipment inspection platform, combining machine learning and computer vision to enhance non-intrusive cargo scans and fraud detection across ports.

2. International Expansion

Management outlined objectives for 2025 that include a catalytic strategic acquisition and deeper global reach. The company established a wholly-owned Abu Dhabi subsidiary and office by year-end, partnered with Vigilix, Easy Lease and Abu Dhabi Ports, and committed to hiring local talent to support next-generation AI systems for customs and security.

3. Fourth Quarter Financial Performance

Q4 revenue declined 37% year-over-year to $27.3 million, with gross margin slipping to 20.4% from 37.4%, driven by lower Army program volume and absence of high-margin license deliveries. Net loss narrowed to $5.8 million from $138.2 million, aided by a $143.4 million non-cash derivative gain, $21.8 million tax benefit and record liquidity, while adjusted EBITDA was -$10.3 million.

4. Market and Product Developments

Ask Sage adoption scaled month-over-month across U.S. defense, with cross-selling into existing accounts and development of a ruggedized edge hardware system. Strategic partnerships with radar specialist C Speed and shipbuilder Fincantieri extend real-time intelligence capabilities, while the veriScan platform launched at O’Hare, Sea-Tac, Nashville and Calgary airports to streamline biometric passenger processing.
