2. Warrant Structure
Each warrant is initially exercisable at $0.20 per share and will adjust to 70% and 50% of this price on the second and fifth trading days after closing, respectively. Warrants may be exercised via a zero-cost option any time within one year, delivering twice the shares upon exercise.
3. Use of Proceeds and Over-Allotment Option
Proceeds from the offering are earmarked for working capital and general corporate purposes. Blue Hat granted the underwriter a 15-day option to purchase up to 4,800,000 additional Units at issue prices less underwriting discounts and commissions.
