Boardwalktech opposes ZenaTech proposals, says they aim to take control
ZENA•Boardwalktech opposed ZenaTech’s proposals to exercise all its outstanding warrants and replace the board with five nominees, calling them an attempt to take control. Shareholders will meet on January 22, 2027; Boardwalktech also corrected figures on finder’s fees and warrants in earlier offerings.
1. Control proposals opposed
Boardwalktech said ZenaTech’s proposals would not serve shareholders’ best interests. ZenaTech is seeking approval to exercise all its outstanding common share purchase warrants, potentially gaining control, and to replace all directors with five nominees. A special shareholder meeting is scheduled for January 22, 2027, at 1 p.m. Pacific Standard Time.
2. Offering figures corrected
Boardwalktech clarified that the second tranche of an offering described in its September 24, 2026, release involved no finder’s fees or finder’s warrants. It also said an April 1, 2026, release overstated finder’s fees: $10,584 was paid, not $15,384, and 302,400 finder’s warrants were issued.
