Brand Engagement Network priced a USD 1.05 million private placement of common stock at USD 8.5 per share.
The deal covers 123,650 shares, split equally between BEN Capital Fund I and Joseph Bevash.
USD 150,025 funded at closing; USD 901,000 due in five monthly installments through Feb. 5, 2027.
Investors also receive six-month 1-for-1 warrants for up to 123,650 shares at a USD 8.5 exercise price.
Pricing represents a premium of more than 20% to the Sept. 21, 2026 close of USD 7.07.
