Quorum requires 33 1/3% of outstanding common shares entitled to vote to be present in person, remotely or by proxy. Shareholders of record as of July 31 remain eligible to vote, previously submitted proxies remain valid, and the proxy voting deadline was extended to 9:00 a.m. ET on Oct. 23.
