1. Completion of Quebec REE Transaction
CAT Strategic Metals Corporation has finalized its acquisition of exclusive rights to earn a majority interest in a district-scale rare earth elements exploration project in Quebec, Canada, as announced January 13, 2026. Under the binding memorandum of understanding, the company issued 33,000,000 common shares at a deemed price of $0.015 per share to the vendor. All securities issued are subject to a statutory hold period of four months and one day, alongside concurrent resale restrictions under Canadian Securities Exchange policies that require a prescribed legend until the hold period expires. This transaction significantly expands CAT’s project pipeline into one of North America’s most prospective REE jurisdictions and positions the company to capitalize on growing demand for strategic minerals used in clean energy and advanced technologies.
2. Appointment of Chief Financial Officer and Corporate Secretary
Effective January 29, 2026, CAT has appointed Christopher Malone as Chief Financial Officer and Corporate Secretary, replacing Steven Cozine, who remains on the board. Mr. Malone brings over 43 years of experience in corporate finance, governance and information systems across major Canadian and multinational organizations. He is the founding director of PrOasis Consulting and currently serves as CFO for several public and private entities. His credentials include a CPA, CMA designation and a B.A. in Commerce and Economics from the University of Western Ontario.
