CCH Holdings Raises US$5M in 1.25M-Share IPO, Eyes 2026 Global Expansion
CCH Holdings Ltd priced 1,250,000 shares at US$4.00 in its October 3 Nasdaq IPO to raise US$5.0 million and granted underwriters a 45-day option for an additional 187,500 shares. The Malaysia-based hotpot chain has slated 2026 acquisitions of local restaurant groups and expansion into the U.S. and Africa.
1. IPO Pricing and Structure
CCH Holdings Ltd successfully priced its initial public offering of 1,250,000 ordinary shares at US$4.00 per share, generating gross proceeds of US$5.0 million before underwriting discounts, non-accountable expense allowance and estimated offering expenses. The company granted underwriters a 45-day over-allotment option to purchase up to 187,500 additional shares at the IPO price minus discounts and commissions. The offering, conducted on a firm-commitment basis, received Nasdaq Capital Market approval, and trading is slated to commence on October 3, 2025.
2. Use of Proceeds and Closing Conditions
Net proceeds will fund expansion of CCH’s restaurant network, strategic acquisitions, brand building and marketing, diversification into food-ingredient and condiment products and channels, and general corporate purposes. The offering is expected to close on or about October 6, 2025, pending customary closing conditions. Cathay Securities, Inc. serves as lead underwriter, with Hogan Lovells as U.S. counsel to the company and Lucosky Brookman LLP as counsel to the underwriters.
3. Regulatory Filings and Counsel
CCH filed a Form F-1 registration statement (File No. 333-289878) with the U.S. Securities and Exchange Commission, which was declared effective prior to pricing. The final prospectus will be available on the SEC’s website. Electronic copies may also be requested from Cathay Securities’ New York office by phone or email. Investors are urged to review the prospectus and other SEC filings for detailed risk disclosures.
4. 2026 Strategic Growth Plans
Looking ahead to 2026, CCH Holdings plans to acquire multiple Malaysian restaurant chains, launch new business ventures domestically and expand its specialty hotpot concept into U.S. and African markets. Management expects these initiatives to accelerate system-wide revenue growth, enhance brand visibility and drive long-term shareholder value, with further details to be disclosed in a subsequent press release.
