CDT Equity amends J.J. Astor loan, raises convertible note principal to $2.54 million

CDT Equity issued warrants for 37,500 shares at $7.2. The floor price resets every six months starting Dec. 11, 2026.
Convertible note amended
CDT Equity amended its senior secured convertible promissory note with J.J. Astor, lifting outstanding principal to $2.54 million.
The note now carries 19% interest. Repayment shifts to 23 weekly installments of $104,188 starting Aug. 19, 2026.
Proceeds and conversion terms updated
Net proceeds to the lender from the A.G.P. sales agreement increased to 90% to fund the weekly payments.
Conversion terms reset to the greater of 70% of the lowest 20-day VWAP or the Nasdaq floor price, subject to shareholder approval.
