Change Agents issued August 2026 OID Notes totaling USD 616,000, including a USD 66,000 original issue discount, for USD 550,000 gross proceeds.

The notes mature May 14, 2027 and carry 7% interest, rising to 15% during an event of default.

Proceeds are earmarked to repay portions of existing debt, including amounts owed to Vanquish Funding Group, June 2025 notes, and a July 2024 business loan.

The notes may be prepaid at 105% of original principal and include negative covenants limiting additional indebtedness.

Investors also received pre-funded warrants for 1,000,000 shares at USD 0.0001 per share, subject to the Nasdaq 19.99% cap pending stockholder approval.
