Chemomab halves planned post-merger share count to 5,000,000 in Scipher deal

1. Merger terms amended
Chemomab Therapeutics amended its merger agreement on October 16, 2026, reducing the combined company’s planned post-closing shares from 10,000,000 to 5,000,000. The amendment leaves transaction consideration, economic value and relative ownership allocations unchanged. The planned merger includes redomiciliation to the U.S., with both businesses held by Snowdrift Parent. Under revised terms, contingent value rights holders will receive quarterly milestone status reports within 45 days of quarter-end.
