Cognizant signs new $2.4 billion credit agreement led by JPMorgan Chase Bank NA
CTSH•Cognizant entered a $2.4 billion credit agreement on Oct. 5, 2026, comprising a $550 million term loan and a $1.85 billion revolving facility, with about $1 billion borrowed at closing.
1. Credit agreement details
The unsecured facilities mature on Oct. 3, 2031, and replaced Cognizant’s prior term and revolving facilities, which were terminated at closing. The term loan amortizes quarterly by $6.875 million starting in its second year; a quarterly leverage covenant caps leverage at 3.50:1.00, temporarily rising to 4.00:1.00 for acquisitions.
