Copart launches tender offer for ACV Auctions at USD 10.5 a share

• ACV’s board recommended the offer.
• Copart plans to merge its acquisition unit into ACV, leaving ACV as a wholly owned Copart subsidiary.
• Closing requires majority share tenders, net of certain shares not counted under the offer’s terms.
