Cuprina to buy Singapore healthcare group East Coast Podiatry and Orchard Clinic for S$4 million
CUPR•Cuprina entered agreements to acquire 100% of East Coast Podiatry and Orchard Clinic, which operate seven clinics, for about S$4 million. The purchase price includes S$3 million in cash and S$1 million in Class A shares.
1. Deal terms
Cuprina entered sale and purchase agreements to acquire all of Singapore’s East Coast Podiatry and Orchard Clinic, totaling seven clinics, for about S$4 million. The consideration comprises S$3 million in cash and S$1 million in Class A shares. Cash payments include S$500,000 on signing, S$1.35 million at closing and S$1.15 million deferred over two years.
2. Financial results and closing
The businesses reported unaudited FY2025 revenue of about S$9.1 million and normalized EBITDA of about S$1.2 million. Closing is targeted on or before Nov. 1, 2026, and the sellers’ consideration shares are subject to a lock-up.
