- Shareholders will vote to elect two Class II directors for three-year terms expiring at the 2029 annual meeting.
- A proposal seeks authority for the board to execute a reverse stock split within one year, at a ratio from 1-for-5 to 1-for-150.
- The meeting also includes a vote to ratify Baker Tilly US as independent auditor for the year ending Dec. 31, 2026.
- Shareholders will also vote on a potential adjournment to solicit additional votes on the meeting’s proposals.
