Dream Finders secures noteholder consents clearing path for Beazer acquisition

Dream Finders’ planned acquisition of Beazer moved forward after holders of a majority of Beazer’s 8.000% Senior Notes due 2032 delivered consents.
The amendment removes the merger as a “Change of Control” under the 2032 Indenture, eliminating a required “Change of Control Offer.”
A cash consent fee totals USD 4 million, expected to equal about USD 10.3 per USD 1,000 of consenting 2032 Notes.
Closing remains targeted for the fourth quarter of 2026, subject to customary conditions.
Beazer is expected to remain the surviving corporation, becoming a wholly owned subsidiary of Dream Finders.
