ECX•ECARX is acquiring 100% of Flyme’s software business from DreamSmart Group for RMB1.8 billion (USD266 million), securing end-to-end Flyme Auto and Flyme OS capabilities including a stack deployed in over 2 million vehicles. Funding comprises 70% syndicated loans and 30% internal sources, with a post-close RMB200 million capital injection.
ECARX entered a definitive agreement to purchase the entire Flyme software business from DreamSmart Group by acquiring 100% equity in the carved-out entity for RMB1.8 billion (USD266 million). The deal expands a preliminary agreement from April 2026 and will transfer all IP, R&D teams, OEM contracts and liabilities within six months post-close.
Flyme Auto OS, already deployed in over two million vehicles, and Flyme OS, built on 15 years of R&D with mass-market deployments across vehicles, smartphones and wearables, deliver multi-screen cabin interaction, mobile-IoT-vehicle connectivity, middleware, UI/UX frameworks and development toolkits.
The acquisition will be funded with approximately 70% syndicated bank loans maturing in 10 years and 30% internal resources, including loan offsets. ECARX will pay 30% of consideration within 30 days of signing and the remainder within 30 days of equity transfer, alongside a RMB200 million post-close capital infusion.
Securing full Flyme software capabilities aligns ECARX’s hardware and software roadmaps, positioning it to offer a proprietary end-to-end OS to global OEMs. The expanded software stack is expected to drive new revenue from licensing, integration services and connected car ecosystems in the fast-growing in-car intelligence market.
