Evogene replaces two directors with Pure Capital nominees under cooperation deal
EVGN•Evogene reached a cooperation deal with Pure Capital Group to reconstitute its board and end a shareholder dispute. A shareholder vote is slated within 42 days to elect four nominees, subject to approval of the agreement.
1. Board changes
Directors Yael Margolin and Yoshinori Oikawa resigned, and Pure Capital nominees Adi Zuluf-Shani and Oz Adler were named as replacements. The same shareholder meeting would vote on seating Itay Maroz and Shahar Zadok in place of Dan Falk and Adrian Percy. If approved, the seven-member board would include four Pure Capital nominees, with a transition period expected to last up to six months.
