FingerMotion signs deal to buy Newbit Technology for US$2.3 million cash
FNGR•FingerMotion agreed to acquire Newbit Technology for US$2.3 million in cash, securing a 9.9 MW behind-the-meter powered site in Alberta. The deal is targeted to close by Oct. 29, 2026, subject to a new gas supply agreement and key third-party consents.
1. Deal terms
The agreement covers 100% of Newbit’s shares on a cash-free, debt-free basis, with the price subject to customary leakage and debt adjustments. A US$230,000 deposit is already in trust, another US$230,000 is due on signing, and about US$1.84 million is payable at closing.
2. Site assets
The transaction includes site tenure, permits, pipeline and metering infrastructure. Generating equipment is excluded and must be removed before closing.
