France's Schneider Electric confirms $22.6 billion deal to buy US software firm PTC
PTC•Schneider Electric agreed to buy PTC in an all-cash deal valuing the US software company’s equity at about $22.6 billion. The $205-per-share offer implies a 42.3% premium, and the deal is expected to close in the third quarter of 2027.
1. Deal terms
Schneider Electric said it agreed to acquire PTC in an all-cash deal valuing PTC’s equity at around $22.6 billion. The $205-per-share offer implies an enterprise value of $23.7 billion and a 42.3% premium to PTC’s last closing share price.
2. Financing and timing
The acquisition will be financed through a combination of equity and new debt issuance and is expected to close in the third quarter of 2027.
3. Software and demand
The acquisition would deepen Schneider Electric’s push into software acquisitions. PTC provides software for designing, manufacturing and servicing products, and Schneider said in July it lifted its annual revenue forecast after reporting record first-half results, betting on strong demand for industrial software and AI-powered tools.
