Genmab shareholders are set to vote at an extraordinary general meeting on Oct. 7, 2026, on 2026 board remuneration.
Cash fees and share-based pay kept unchanged
The board is seeking approval to keep cash fees unchanged versus 2024-2025, including a DKK 600,000 annual base fee for directors.
The chair would receive cash compensation equal to 2x the base fee, the deputy chair 1.5x, with additional committee fees.
The proposal also maintains share-based pay via restricted stock units at 3x the base fee for the chair and 2.5x for other directors.
