Golden Minerals plans private placement to raise up to C$5 million
AUMN•Golden Minerals plans to raise up to C$5 million through a private placement, issuing up to 17,857,142 units at C$0.28 each. Without financing, available funds are expected to run out by year-end 2026, leaving the company facing potential imminent liquidation.
1. Placement terms and funding
The non-brokered placement would consist of up to 17,857,142 units priced at C$0.28 each. Each unit includes one common share and half a warrant; each whole warrant can be used to buy one share at C$0.45 for 24 months. Closing is expected around November 9, 2026. Proceeds would fund exploration, forecast expenditures, liability reductions and working capital.
2. Shareholder approval and liquidity
Golden Minerals is seeking a TSX financial-hardship exemption from shareholder approval. The total shares issued or issuable would represent 147.4% of outstanding shares. The company says its available funds will run out by year-end 2026 without financing, leaving it facing potential imminent liquidation.
