Gran Tierra Energy seeks noteholder consent for indenture amendments tied to sale, offers US$2.5 per US$1,000 fee

Gran Tierra set the consent fee at US$2.5 per US$1,000 principal amount. The fee would be payable at the closing of the sale.
The company said the solicitation requires consents from holders of at least 50% of the US$479.35 million outstanding notes. The deadline is 5:00 p.m. New York time on Sept. 22, 2026.
Consent solicitation launched for 2031 notes
Gran Tierra Energy launched a consent solicitation to amend the indenture for its 9.750% Senior Secured Amortizing Notes due 2031.
The company said the changes are intended to facilitate a planned sale that includes:
- a note assumption
- collateral releases
- covenant waivers
- no Change of Control trigger
