Sphere 3D priced a USD 5 million private placement of 1,666,661 units at USD 3 per unit.
Each unit includes one common share and one five-year warrant exercisable at USD 3.5 per share.
Closing, lock-up and participation
Closing is expected around Sept. 11, 2026. The securities carry a six-month contractual lock-up.
Three directors, including Chairman Timothy Hanley and CEO Joel Block, subscribed for 333,332 units worth about USD 1 million.
