Greenwave Technology Solutions issued 2,152,853 common shares in an unregistered transaction tied to an Aug. 24, 2026 exchange agreement.
The shares went to DWM Properties, controlled by CEO Danny Meeks, to settle a promissory note with a $5.39 million principal balance.
The transaction also cleared $2.61 million of other related-party amounts owed to Meeks and affiliates.
The issuance relied on exemptions under Section 4(a)(2), Regulation D, and/or Section 3(a)(9).
