Grid Metals seeks shareholder approval for director nomination advance notice bylaw
MSM•Grid Metals shareholders will vote on November 17, 2026, on ratifying Waratah Capital Advisors as a control person and approving a director nomination advance notice bylaw. Waratah holds about 19.4% of the company’s outstanding shares and has rights to nominate two of five directors.
1. Shareholder vote
At the November 17, 2026, meeting, shareholders will vote on ratifying Waratah Capital Advisors as a control person. Waratah holds 45,289,495 common shares, about 19.4% of outstanding shares, and has rights to nominate two of five directors; ratification requires a majority of disinterested votes, excluding shares controlled by Waratah and its associates and affiliates.
2. Other proposals
Shareholders will also consider a 10% rolling equity incentive plan and authorizing the board to determine its size within the limits set by the company’s articles. A proposed ratification of the director nomination advance notice bylaw would preserve its requirements; if rejected, the bylaw would cease to be effective when the meeting concludes.
