1. Closing conditions remain
The waiting period expired under the Hart-Scott-Rodino Act. Under the August 10, 2025, merger agreement, International Money Express will become a wholly owned subsidiary of Western Union, subject to reinstatement of California Department of Financial Protection and Innovation approval, which is suspended, and other closing conditions.
