Hybrid Power Solutions closed the final tranche of its Life Offering, issuing 883,750 units at C$0.06 per unit for gross proceeds of C$53,025. To date, the company has issued 17,798,749 units under the offering, raising total gross proceeds of C$1,067,925.

1. Proof of Concept Agreement with Reliable Robots

On January 19, 2026, Hybrid Power Solutions Inc. executed a Proof of Concept (POC) Development Agreement with Reliable Robots to deploy autonomous mobile robots (AMRs) at its new Etobicoke, Ontario facility. The initial deployment will feature units such as the PUDU T300, capable of transporting up to 600 kg per trip, and the more compact Keenon T9 with a 40 kg payload capacity. Over a 4–6-week testing period commencing approximately two weeks after the Effective Date, the collaboration will gather data on operational efficiency, workflow improvements and scalability. Reliable Robots will provide the robots, setup, training and technical support at no cost during the POC, while Hybrid will contribute facility access, personnel and feedback. Joint performance reviews and a summary report will guide future automation priorities, including potential expansion into cleaning and other process-support tasks to reduce manual labour reliance and improve throughput as production volumes increase.

2. Closing Final Tranche of Life Offering Financing

On January 19, 2026, Hybrid Power Solutions closed the final tranche of its Life Offering financing, issuing 883,750 units for gross proceeds of CDN $53,025. This closing brought total Life Offering proceeds to CDN $1,067,925 from issuance of 17,798,749 units at CDN $0.06 per unit. Each unit comprised one common share and one warrant exercisable at CDN $0.10 for 24 months, subject to acceleration if the share price trades at or above CDN $0.20 for 20 consecutive trading days. Eligible finders received cash fees of CDN $38,690.40 and 644,840 non-transferable finder’s warrants. Net proceeds will fund operations, R&D, sales growth, marketing and general corporate purposes, strengthening the Company’s balance sheet as it scales production of its portable, fuel-free power systems.
