I-On Digital adopts 2026 equity incentive plan with 38,000,000-share reserve

The reserve adds an automatic annual increase starting Jan. 1, 2027 equal to 4% of outstanding capital stock, for up to 10 years.

The plan permits broad equity grants, including options, SARs, restricted stock, RSUs, performance awards, and other stock awards.

I-On Digital Corp. said its board action on June 8, 2026 adopted the 2026 Equity Incentive Plan, later implemented via majority shareholder written consent.

The plan sets an initial 38,000,000-share common stock reserve for equity awards, subject to adjustments.
