InMed amends merger deal with Mentari, files S-4 registration statement
INM•S-4 filed as companies target Q4 2026 closing
A registration statement on Form S-4 was filed, including a preliminary proxy statement/prospectus and management information circular for the transaction.
The companies continue to target closing in Q4 2026, subject to shareholder and stockholder votes and other customary conditions.
Merger agreement amended to clarify sequencing and tax treatment
InMed’s all-stock merger with privately held Mentari Therapeutics was amended to clarify deal sequencing, exchange-ratio effects from pre-closing financing, and intended tax treatment.
