Payment would be in cash and Kala stock, with the cash portion expected to come from existing balance-sheet resources.

The target reported $12.7 million in trailing-12-month revenue through August 2026, and management described the business as cash-flow positive. The platform has served more than 90,000 clients since 2023 and recorded more than $48 million in sales since inception. Due diligence is set for 45 days and is expected to end in November 2026; closing is targeted for late 2026 or early 2027.
