La Rosa to Acquire Consensus Core in All-Stock Deal Granting 96.9% Ownership
La Rosa signed a non-binding LOI to acquire Consensus Core Technologies, the AI infrastructure provider, in an all-equity transaction giving existing shareholders about 3.10% ownership and Consensus equity holders 96.90% of the combined company. Consensus, an Nvidia Cloud Partner, targets over 2 GW of capacity across Manitoba, the Maritimes and Texas.
1. LOI and Transaction Structure
La Rosa entered into a non-binding letter of intent to acquire 100% of Consensus Core Technologies in an all-equity exchange, issuing new La Rosa shares with no cash consideration. The transaction remains subject to due diligence and definitive agreements before closing.
2. Consensus Core's AI Infrastructure Platform
Consensus Core delivers a vertically integrated AI and high-performance computing infrastructure stack as an Nvidia Cloud Partner, targeting more than 2 gigawatts of capacity across strategic North American sites including Manitoba, the Maritimes and Texas.
3. Pro Forma Ownership and Governance Structure
Upon closing, current La Rosa shareholders would own approximately 3.10% of the combined company while Consensus equity holders would own about 96.90%. The board will have five to seven directors, with two designated by La Rosa and the remainder, including the post-transaction CEO and chairman, designated by Consensus.
4. Complementary Real Estate and Data Center Assets
La Rosa recently acquired the remaining 49% of La Rosa Realty Lakeland LLC, which generated $5.1 million in revenue over the 12 months ended Sept. 30, 2025, and signed a contract to purchase land in Osceola County, Florida for a 10,000-square-foot Tier III AI data center.
