Lantheus issues supplemental merger disclosures after shareholder suits, demand letters
LNTH•Lantheus issued supplemental disclosures after three shareholder suits and 16 additional demand letters challenged its merger proxy disclosures. The special meeting to vote on Curium US Holdings’ acquisition is set for Oct. 14, 2026.
1. Merger disclosure update
Three shareholder suits allege omissions involving projections, Morgan Stanley analyses and insider conflicts tied to post-closing retention; 16 additional shareholder demand letters sought further proxy disclosures as of Sept. 30, 2026. The supplemental disclosure updated Morgan Stanley valuation inputs, including 68.2 million fully diluted shares and net debt components as of June 30, 2026. Under the merger, Lantheus would become a wholly owned Curium subsidiary.
