1. Merger and PIPE
WISeSat.Space completed its business combination with Columbus Acquisition, SpaceAIQ and SEALSQ on Oct. 1, 2026. In exchange for its SpaceAIQ stake, SEALSQ received 1,040,478 WISeSat.Space ordinary shares and 1,040,478 Class F shares. A concurrent PIPE closed at $10.79 per share, issuing 926,784 additional ordinary shares to SEALSQ. Its 60-day price protection could trigger additional share issuance if the market price falls below the purchase price.
