Lifezone Metals cuts BHP consideration cap by US$8 million after IFC PS5 resettlement review
LZM•Lifezone Metals cut the cap on consideration payable to BHP by US$8 million after an independent review found Kabanga’s resettlement plan remained materially aligned with IFC Performance Standard 5.
1. Consideration terms revised
The consideration includes a fixed US$10 million deferred cash payment tied to a final investment decision or US$250 million in funding, plus a contingent payment. The contingent amount is based on a US$28 million reference value indexed to Lifezone’s share price and is payable 12 months after first commercial production. Synergy Global Consulting’s Ed O’Keefe conducted the review, including a desktop review and site visit in August–September 2026.
