Lindsay plans to nominate Marvin E. Washington for election as an independent director at its fiscal 2027 annual shareholder meeting. His election would expand the board to nine directors, eight of them independent, and he is expected to join the Audit Committee. Shareholders will also vote on amendments to declassify the board over three years, starting with the fiscal 2028 annual meeting; full implementation would require all directors to stand for election annually. The board’s formal voting recommendations will be included in the definitive proxy statement.
