Stockholders are set to vote on electing seven directors, including Robert S. Ellin, Jay Krigsman and Ramin Arani.
Stockholders will also vote on adopting the 2026 Equity Incentive Plan, reserving up to 4,000,000 shares for awards.
Other items include ratifying Macias Gini & O’Connell as independent auditor for the year ending March 31, 2027.
A proposal would allow adjournment of the meeting if needed to solicit additional votes.
