MiMedx agreed to buy Sanara MedTech in a cash-and-stock deal valuing Sanara at USD 35 a share, or about USD 350 million enterprise value.
Sanara holders will receive USD 33 in cash plus 0.4735 MiMedx shares per share, based on a USD 4.22 reference price.
MiMedx expects to fund the cash portion with cash on hand plus a new USD 300 million term loan from Hayfin Capital Management.
The companies expect more than USD 20 million of run-rate cost synergies; MiMedx projects 2027 revenue above USD 400 million with adjusted EBITDA margin over 20%.
Closing is targeted by year-end, pending Sanara shareholder vote and required regulatory clearances.
