1. Deal Terms

MNDR entered a definitive agreement with investor Dato’ Stanley Ling for a staged MYR 500 million (about $126M) capital injection. The company will issue approximately 9 million shares at $14.10 each, with a 180-day lock-up on these shares and investor ownership rising to 65% upon full funding.

2. Expansion Plans

The funding will finance a 60 MW AI data center campus in Sarawak, Malaysia, with Phase 1 targeting 20–30 MW of capacity. Construction is tied to development milestones and initial operations are slated for 2027 to support AI compute workloads and potential third-party customers.

3. Ownership Impact

While founders retain voting control despite the investor’s majority stake, existing shareholders face significant economic dilution. The capital injection reduces the need for additional financing but shifts 65% of equity to a single party, creating a balance between growth funding and shareholder value dilution.
