1. Proposed Public Offering of Common Stock

On January 5, 2026, Mobix Labs, Inc. announced its intention to offer shares of common stock (or common stock equivalents) in a registered public offering under its shelf registration statement on Form S-3 (File No. 333-284351), declared effective by the SEC on January 24, 2025. All securities in the offering will be sold by the company itself, and the final size and terms will depend on prevailing market conditions. There can be no assurance as to the completion, timing or pricing of the offering, which will be subject to market demand and other factors.

2. Placement Agent and Use of Net Proceeds

D. Boral Capital has been engaged as sole placement agent for the offering. Mobix Labs intends to allocate the net proceeds toward working capital and general corporate purposes, supporting research and development of its advanced RF, mmWave and EMI filtering product lines, as well as potential strategic acquisitions of companies with complementary technologies and existing revenue streams.

3. Appointment of Veteran Defense General Manager

The company named Amir Asvadi as General Manager of its EMI product line and defense manufacturing operations. Mr. Asvadi brings over 15 years of leadership experience in defense and aerospace sectors, including senior roles at Microsemi, where he oversaw cross-functional teams in engineering, marketing, sales and operations. His appointment underscores Mobix Labs’ focus on scaling execution and enhancing customer support across regulated, mission-critical environments.

4. Planned Military-Approved Facility Expansion

Concurrent with the leadership appointment, Mobix Labs revealed plans to relocate West Coast operations into a larger, military-approved manufacturing facility. The new site is designed to consolidate production, streamline workflows and boost throughput for defense and aerospace programs. The expansion aims to enhance operational efficiency and improve delivery consistency for platforms such as the F-35 Lightning, F/A-18 Super Hornet, F-22 Raptor and Apache helicopter.
